Why Weblaw?
Through our work as a leading law firm in the field of E-commerce, Weblaw has developed a range of contracts, which address some of the most common requirements. Each of the contracts is supplied as a template comprising the legal and principal commercial terms in the main body of contract and allowing deal-to-deal flexibility by leaving the particular commercial terms such as price and payment provisions to be inserted by the user in the schedule section.

1. Application Service Provider (ASP) Contracts (click for extract)
This detailed template contract covers the provision of hosted applications by an ASP to its customers and includes provisions relating to service levels.

3. Domain Name Sales
We have developed 2 versions of a template agreement for domain name sales; the first is drafted from the vendor's perspective and the second from the buyer's.
4. Website Sale
A contract template covering the sale of a website including associated domain name and content of website.
5. Linking Agreement (click for extract)
We have developed various linking agreements. These cover unilateral linking to another site or reciprocal linking - there are also optional extra provisions re royalties on sales through traffic resulting from link.
6. Peering Agreement
This agreement cover contracts issued by an Internet Exchange providing for peering for different Internet Service Providers.
7. Shopping Mall Agreement
This agreement governs the situation whereby a retailer is to showcase and sell its wares on another party's virtual shopping mall/portal.
8. Data Protection Privacy Statement and Associated Website Disclaimer (click for extract)
This template document includes copyright statement, intended user restrictions (age, nationality etc), Data Protection compliance statement, liability disclaimer etc.
9. Website Store Terms
We have developed various templates for website owners who provide a forum via their website(s) for buyers and/or sellers to buy/sell goods/services of a particular or general kind.
A complementary template agreement regulating the relationship between website owners and off-line suppliers is also available.
The templates also include a disclaimer section dealing with limitations of the site owner's liability.
10. Content Provider Agreement.
This model agreement provides for a third party to be commissioned to provide content for a website by the website owner. Amongst many other issues, It includes terms regulating ownership of and liability for content.
11. Website Advertising
This template provides the terms on which a website/portal owner is prepared to allow companies and/or individuals to advertise on that site. It covers many issues, including legal responsibility for content, ownership of copyright in the content and limitation of the site owner's liability.
12. Form of Authority to Download Material from a Website
This document provides for formal consent from the owner of website content for a third party to download, thus absolving the downloader from potential intellectual property right infringement claims.
13. E-Commerce Enablement
This contract envisages the enablement of E-commerce by one company for another in exchange for a fixed fee and/or a percentage of the revenues realised from the site. Amongst other things the contract provides a definitive list of the enablement services to be provided and the client's obligations to provide relevant assistance and not to conclude transactions off-line to avoid commission obligations.
14. ISP Services - Business and Consumer Terms
Business Version
This template is prepared on a sectional basis and covers the provision of any selection of the following:-
i. website hosting; ii. domain name registration; iii. e-mail services; iv. client server housing.
Additional services can be incorporated on request.
Consumer Version
In order to implement legislation aimed at the protection of consumers an alternative version has been created to cater for ISP clients who are consumers. The two sets should be used as alternatives on the ISP's website.
